Terms and Conditions

 

Experiments in Dining, LLC, d/b/a/ Cheftabl (“Cheftabl”) provides its off-menu dining experiences (such experiences, “Cheftabl Experiences”) reservation system services to you (“You”) subject to the following conditions. Before becoming a Member (as defined below) of Cheftabl and using the website and related services provided by Cheftabl (the “Site”), You must accept these Terms. In addition, you accept these Terms each time you access the Site. Cheftabl reserves the right to change, modify, add or remove portions of these Terms at any time. Your continued use of the Site after the posting of any such changes constitutes your binding acceptance of such changes. If You do not agree to be bound by the Terms, you may not use the Site in any way. The Site is not available to persons under the age of 13 and by using the Site, You represent that you are at least 18 years of age, or if younger than 18, but at least 13, your parent or guardian has authorized you to use the Site and has agreed to these Terms. Registration

Account Creation. You are a “Member” of the Site when you register with the Site in order to book a Cheftabl Experience. In order to register, you must provide Cheftabl with an email address and password. Social Sign-On. The Site may allow you to register and log in using sign-on functionality provided by social networks, such as Facebook. You agree to abide by the social networks’ terms and conditions applicable to you.

 

License of Use. The contents of the Site include: designs, text, graphics, images, video, information, logos, button icons, software (including mobile applications and hosted software services), audio files, computer code, and other Cheftabl content (collectively, “Cheftabl Content”).  All Cheftabl Content and the compilation (meaning the collection, arrangement, and assembly) of all Cheftabl Content are the property of Cheftabl or its licensors and are protected under copyright, trademark, and other laws.

Cheftabl grants you a limited license to access and make personal, non-commercial use of the Cheftabl Content. This license does not include any downloading or copying of account information for the benefit of another vendor or any other third party; caching, unauthorized hypertext links to the Site and the framing of any Cheftabl Content available through the Site uploading, posting, or transmitting any content that you do not have a right to make available (such as the intellectual property of another party); uploading, posting, or transmitting any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; any action that imposes or may impose (in Cheftabl’s sole discretion) an unreasonable or disproportionately large load on Cheftabl’s infrastructure; or any use of data mining, robots, or similar data gathering and extraction tools. You may not bypass any measures used by Cheftabl to prevent or restrict access to the Site. Any unauthorized use by you shall terminate the permission or license granted to you by Cheftabl.

Website Content. Member acknowledges that all Cheftabl Content is the intellectual property, with all rights reserved, of Cheftabl and Member will not disseminate Cheftabl Content without the express written permission of Cheftabl. Furthermore, Member acknowledges that access to the website is conditioned on membership and will not share any identifying information and access with non-members. All information and content including any software programs available on or through the Site is protected by copyright. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Cheftabl Content available on or through the Site for commercial or public purposes.

 

User Submitted Content. Cheftabl does not claim ownership of any materials you make available through the Site (“User Submitted Content”). At Cheftabl’s sole discretion, such User Submitted Content may be included in the Site in whole or in part or in a modified form. With respect to User Submitted Content you submit or make available for inclusion on the Site, you grant Cheftabl a perpetual, irrevocable, non-terminable, worldwide, royalty-free and non-exclusive license to use, copy, distribute, publicly display, modify, create derivative works, and sublicense such User Submitted Content or any part of such User Submitted Content. You hereby represent, warrant and covenant that any User Submitted Content you provide does not include anything (including, but not limited to, text, images, music or video) to which you do not have the full right to grant the license specified in this Section.

 

Privacy Policy. These Terms include Cheftabl’s Privacy Policy which is incorporated by reference into these Terms. Cheftabl will take commercially reasonable and industry standard precautions to safeguard all member information and not sell or disseminate that information to any third parties, unless in conjunction with the sale of the Company. Member waives any objection to Cheftabl’s use of electronic tracking devices (“cookies”) to optimize the web experience.

 

Cheftabl’s Liability

Changes to the Site.  Cheftabl may change, suspend, or discontinue any aspect of the Site at any time, including hours of operation or availability of the Site or any feature, without notice or liability.

User Disputes.  Cheftabl is not responsible for any disputes or disagreements between you and any third party you interact with using the Site.  You assume all risk associated with dealing with third parties.  You agree to resolve disputes directly with the other party.  You release Cheftabl of all claims, demands, and damages in disputes among users of the Site.  You also agree not to involve Cheftabl in such disputes.  Use caution and common sense when using the Site.    

Content Accuracy.  Cheftabl makes no representations about accuracy, reliability, completeness, or timeliness of any contents of the Site, including reservation availability at local businesses.  Similarly, Cheftabl makes no representations about accuracy, reliability, completeness, or timeliness of any data from third-party service providers or the quality or nature of third-party products or services obtained through the Site.  Use the Site at your own risk. 

Third-Party Websites.  The Site may include links to third party websites and applications.  You are responsible for evaluating whether you want to access or use them.  Cheftabl is not responsible for and does not endorse any features, content, advertising, products, or other materials on other websites or applications.  You assume all risk and Cheftabl disclaims all liability arising from your use of them.

Cheftabl makes no promises and disclaim all liability of specific results from the use of the Site.

Released Parties Defined.  “Released Parties” include Cheftabl and its affiliates, officers, employees, agents, partners, and licensors.

Disclaimer.  YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE SITE IS AT YOUR SOLE RISK, AND THE SITE, CHEFTABL CONTENT AND CHEFTABL EXPERIENCES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED BY PARTNER RESTAURANTS OR RESULTS THAT MAY BE OBTAINED BY CONSUMERS THAT USE THE SITE, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) THE RELEASED PARTIES MAKE NO WARRANTY THAT (i) THE SITE, CHEFTABL CONTENT OR CHEFTABL EXPERIENCES WILL MEET YOUR REQUIREMENTS, (ii) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, EXPERIENCES, OR OTHER MATERIAL YOU OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SITE OR CHEFTABL CONTENT WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE SITE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SITE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, CHEFTABL CONTENT, ALL SITE-RELATED SERVICES, AND THIRD PARTY WEB SITES. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CHEFTABL OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY OF ANY KIND.  ANY REFERENCES TO SPECIFIC PRODUCTS OR SERVICES ON CHEFTABL WEBSITES DO NOT CONSTITUTE OR IMPLY A RECOMMENDATION OR ENDORSEMENT BY CHEFTABL UNLESS SPECIFICALLY STATED OTHERWISE.

THE SITE IS CONTROLLED AND OPERATED FROM FACILITIES IN THE UNITED STATES.  CHEFTABL MAKES NO REPRESENTATIONS THAT THE SITE IS APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS.  THOSE WHO ACCESS OR USE THE SITE FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE ENTIRELY RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS, INCLUDING BUT NOT LIMITED TO EXPORT AND IMPORT REGULATIONS. YOU MAY NOT USE THE SITE IF YOU ARE A RESIDENT OF A COUNTRY EMBARGOED BY THE UNITED STATES, OR ARE A FOREIGN PERSON OR ENTITY BLOCKED OR DENIED BY THE UNITED STATES GOVERNMENT.  UNLESS OTHERWISE EXPLICITLY STATED, ALL MATERIALS FOUND ON THE SERVICE ARE SOLELY DIRECTED TO INDIVIDUALS, COMPANIES, OR OTHER ENTITIES LOCATED IN THE UNITED STATES.

LIMITATION OF LIABILITY AND INDEMNIFICATION.  YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE RELEASED PARTIES SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CHEFTABL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SITE OR CHEFTABL CONTENT; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE SITE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY USER OR THIRD PARTY ON THE SITE; (E) YOUR RELIANCE ON CONTENT MADE AVAILABLE BY US; OR (vi) ANY OTHER MATTER RELATING TO THE SITE.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.  ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO YOU.

 

TO THE FULLEST EXTENT POSSIBLE BY LAW, OUR MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE OR YOUR USE OF CHEFTABL CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID (IF ANY) TO USE THE SITE, OR (ii) $100.

You acknowledge that any breach of these Terms by you would cause irreparable injury to Cheftabl for which monetary damages would not be an adequate remedy and, therefore, Cheftabl will be entitled to seek injunctive relief (including specific performance) in any court of competent jurisdiction.

Member hereby releases the Released Parties from any and all liability whatsoever for any injuries or damages suffered by Member or any other guest at Member’s Cheftabl Experience arising out of Member’s or relevant guest’s participation in any activities, services, programs or treatments offered by the Cheftabl or Member’s or relevant guest’s use of any of the facilities at any Cheftabl Experience wherever they are held, or the Member’s membership in the Cheftabl. Member hereby agrees to indemnify, defend and hold harmless the Released Parties, from and against any cost, damage, claim, liability or expense (including reasonable attorneys’ fees) incurred by or claimed against any of the Released Parties, directly or indirectly, which is occasioned by or results from any act, omission, fault, negligence or misconduct on the part of the Member or any guest of the Member.

Consequences of Violating These Terms.  We reserve the right to suspend or terminate your Member account and prevent access to the Site for any reason, at our discretion.  We reserve the right to refuse to provide the Site to you in the future.  Perpetual licenses granted by you to Cheftabl remain in full force and effect.  You are responsible for any claims, fees, fines, penalties, and other liability incurred by us or others caused by or arising out of your breach of these Terms and your use of the Site.

 

Reservation Terms

Reservation System. Cheftabl Experiences will be available to be booked through the Site with a minimum of 24  hours notice. Cheftabl Experiences can only be booked through the Cheftabl Website. Member understands that the Cheftabl will charge Member the price for the dinner experience, including all guests, to the credit card on file.

Seating Availability. Cheftabl will work to provide maximum access to dinners at selected partner restaurants (each restaurant through which a Cheftabl Experience is available for booking, a “Partner”) but Member understands that there is no guarantee of an available reservation at a particular restaurant or Partner at any time. While any reservation over 6 people is subject to our Partner’s discretion, Member understands that all Partners have particular size and table restrictions and while Cheftabl will work to service all requests, not all party sizes can be accommodated.

Payments. You agree to pay the applicable charges for any Cheftabl Experience reservation you place through the Site, whether or not you attend the Cheftabl Experience requiring such payment.  All balances and all fees, charges, and payments collected or paid through the Service are denominated in US dollars.  Gratuities are included in all prices quotedon the Site.  The Site currently uses third parties to process payments.  Our third-party payment processors accept payments through methods detailed on the applicable payment screen.  Subject to our Cancellation Policy below, Cheftabl will refund you all fees paid for Cheftabl Experiences cancelled by you. 

Additional Terms of Sale.  If you are purchasing alcohol as a part of your Cheftabl Experience, you represent and warrant that you are 21 years of age or old and will present a valid government-issued identification to the applicable Partner upon request.  Partners, in their sole discretion, reserve the right to substitute any ingredient or menu item and will make effort to provide you with notice of such changes.

Cancellation Policy.  Member understands that significant preparation is necessary for this unique experience and agrees, for any cancellations made within 24 hours of the scheduled Cheftabl Experience, a $50 cancellation fee will be charged. 

 

Suggestions and Submissions Cheftabl appreciates hearing from our users and welcome your comments regarding the Site.  Please be advised, however, that Cheftabl does not accept or consider creative ideas, suggestions, inventions, or materials (“creative ideas”) other than those which we have specifically requested.  While Cheftabl values your feedback on its services, please be specific in your comments and do not submit creative ideas.  If, despite this request, you send Cheftabl creative ideas, Cheftabl:

 

Arbitration, Class Waiver, and Waiver of Jury Trial.  This Agreement shall be governed by and construed under the internal laws of the District of Columbia, without regard to conflicts of law principles. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the federal and State courts located in District of Columba and each party hereby irrevocably submits to the jurisdiction of, and waives any objection to the laying of venue in, any such court.

 

You also acknowledge and understand that, with respect to any dispute with the Released Parties arising out of or relating to your use of the Service or these Terms:

 

Severability.  If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

 

Term and Termination. These Terms are effective upon your use of the Site.  You may terminate these Terms at any time by notifying us, and we reserve the right to terminate these Terms at any time in our sole discretion.  Once these Terms are terminated, your Member account is also terminated, and you must immediately cease using the Site.  All sections of these Terms that by their nature should survive termination will survive termination, including, without limitation, ownership, warranty disclaimers, limitations of liability and any obligations to pay amounts accruing prior to the termination date.

 

Entire Agreement.  The above terms contain the entire agreement of the parties with respect to the subject matter of the term sheet, and supersede all prior negotiations, agreements and understandings with respect thereto.

 

 

Severability.  If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

 

 

 

Term and Termination. These Terms are effective upon your use of the Site.  You may terminate these Terms at any time by notifying us, and we reserve the right to terminate these Terms at any time in our sole discretion.  Once these Terms are terminated, your Member account is also terminated, and you must immediately cease using the Site.  All sections of these Terms that by their nature should survive termination will survive termination, including, without limitation, ownership, warranty disclaimers, limitations of liability and any obligations to pay amounts accruing prior to the termination date.

 

 

 

Entire Agreement.  The above terms contain the entire agreement of the parties with respect to the subject matter of the term sheet, and supersede all prior negotiations, agreements and understandings with respect thereto.

The term “Company,” “Cheftabl,” “we,” and “us” includes Experiments in Dining, LLC d/b/a Cheftabl and our affiliates and subsidiaries.  The Privacy Policy explains how Cheftabl may:

 

 

information we obtain through the “Site.”

 

The “Site” means any website, mobile application, or Internet service under the control of Cheftabl, whether partial or otherwise, in connection with providing an online platform for Cheftabl’s services.

 

Personal Information” means information that alone or when in combination with other information may be used to readily identify, contact, or locate you, such as: name, address, email address, or phone number.  We do not consider Personal Information to include information that has been anonymized so that it does not allow a third party to easily identify a specific individual.

 

The Site Collects Information

 

 

 

We collect Personal Information when you:

  • register to use the Site;
  • log in with social networking credentials;
  • use the Site; and
  • communicate with us. 

We also collect information, such as anonymous usage statistics, by using cookies, server logs, and other similar technology as you use the Site.

 

Personal Information Collection.  You must register to use the Site.  To register, you may need to provide Personal Information, such as your email address and name. 

 

Social Sign-On.  We collect Personal Information from the social media website when you use your social media credentials to log into the Site.  For example, when you log in with your Facebook credentials, we may collect the Personal Information you have made publicly available in Facebook, such as your name and profile picture.  We may also obtain other information with your permission, such as you’re your address, email, phone number. [list data elements].

 

Using the Site.  We collect information you post through the Site.  For example, when you make your first reservation with Cheftabl, you will also need to provide your phone number, credit card number and billing address.  Your credit card number and billing address are not stored by Cheftabl.  You may also provide other optional information, such as your dietary preferences.

 

Making Payments.  When you make payments through the Site, you may need to provide Personal Information to our third-party service providers, such as your credit card number.

 

Customer Support.  We may collect Personal Information through your communications with our customer support team. 

 

Location[A1]  Information from Your Mobile Device[A2] .  We may collect and store your location information if you enable your mobile device to send it to us.  Collection of this information may improve the provision of the Site.

 

Guests’ Payments.  If you select the option allowing your guests to pay for their share of the Cheftabl Experience, Cheftabl will ask you to provide your guests’ email addresses and Cheftabl will send them a notification.  The email addresses that you supply to Cheftabl for this purpose are saved for your convenience for future Cheftabl Experiences; these addresses are not used for any other purpose, and will not be shared with any third parties. 

 

Importing Contacts.  You may import your contacts from third-party email account providers, such as Gmail, in order to facilitate the input of your guests’ email addresses into your Chetabl Experience reservation notification.  Cheftabl does not store these contacts. 

 

Cookies, Automatic Data Collection, and Related Technologies.  The Site collects and stores information that is generated automatically as you use it, including your preferences and anonymous usage statistics.

 

When you visit the Site, we and our third-party service providers receive and record information on our server logs from your browser, including your IP address, and from cookies and similar technology.  Cookies are small text files placed in visitors’ computer browsers to store their preferences.  Most browsers allow you to block and delete cookies.  However, if you do that, the Site may not work properly.

 

By using the Site, you are authorizing us to gather, parse, and retain data related to the provision of the Site.

 

How Company Uses Your Information

 

 

 

We use Personal Information to

  • facilitate and improve our services; and
  • communicate with you.

We may use aggregate information for any purpose, including for marketing purposes.

 

Internal and Service-Related Usage.  We use information, including Personal Information, for internal and service-related purposes only and may provide it to third parties to allow us to facilitate the Site.  We may use and retain any data we collect to provide and improve our services.

 

Communications.  We may send email to the email address you provide to us to verify your account and for informational and operational purposes, such as account management, customer service, or system maintenance.

 

Marketing.  We may use information, including Personal Information, to facilitate transmittal of information that may be useful, relevant, valuable or otherwise of interest to you.

 

Aggregate Data.  We may anonymize and aggregate data collected through the Site and use it for any purpose.

 

COMPANY May Disclose Your Information

 

We may share your information:

  • with our third-party service providers;
  • to comply with legal obligations;
  • to protect and defend our rights and property; and
  • with your permission.

 

We do not rent, sell, or share Personal Information about you with other people or nonaffiliated companies for their direct marketing purposes, unless we have your permission.

 

Partner Restaurants.  We will share your name and phone number with any Partner Restaurant you make a reservation with through the Site. 

 

We Use Vendors and Service Providers.  We may share any information we receive with vendors and service providers retained in connection with the provision of the Site.

 

Social Networking and Other Websites.  The Site may allow you to share information, including Personal Information, with social networking websites, such as Facebook.  We do not share your Personal Information with them unless you direct the Site to share it.  Their use of the information will be governed by their privacy policies, and you may be able to modify your privacy settings on their websites.

 

Marketing.  We do not rent, sell, or share Personal Information about you with other people or nonaffiliated companies for their direct marketing purposes.  We may allow access to other data collected by the Site to facilitate transmittal of information that may be useful, relevant, valuable or otherwise of interest to you.

 

As Required By Law and Similar Disclosures.  We may access, preserve, and disclose your Personal Information, other account information, and content if we believe doing so is required or appropriate  to: comply with law enforcement requests and legal process, such as a court order or subpoena; respond to your requests; or protect yours’, ours’ or  others’ rights, property, or safety.

 

Merger, Sale, or Other Asset Transfers.  If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, sale of company assets, or transition of service to another provider, your information may be sold or transferred as part of such a transaction as permitted by law and/or contract.  We cannot control how such entities may use or disclose such information.

 

We may also disclose your Personal Information with your permission.

 

Security of Your Information
